Terms and Conditions for Specialist Providers

This agreement describes the terms and conditions of Your use as a Service Provider to our Website movers-network.co.uk . By becoming a registered Service Provider, You agree to be bound by this agreement. If You are registering as a firm, You must have the authority to bind the firm to this agreement.

DEFINITIONS

Conditions: These terms and conditions.

Service or Product: A service or product displayed for sale on the Website including but not limited to conveyancing and other legal services and surveying services and energy assessment services.

Service or Product Description: Part of the Website where certain terms and Conditions in respect of the individual Service or Product are provided.

Users: The individuals who are browsing and exploring the Website.

Personal Information: The details provided by You on acquiring a quote or instructing a Service or Product via our Website.

Website: Located at www.movers-network.co.uk or any subsequent URL which may replace it.

United Kingdom: England, Wales, Scotland, Northern Ireland and the Channel Islands.

Service Provider: A solicitor, property lawyer practice or firm, or a surveyor practice or firm or other third party practice or firm introduced to the Client by movers-network.

Client: The individual identified in a Quote, who will be introduced to one or more Service Provider(s).

Quote: A written quotation supplied by movers-network (in electronic format or via our www.movers-network.co.uk or by email or in hard copy) to a Client setting out the Service or Product requested by the Client and an indicative fee for the Services based on the information supplied to Movers Network by the Client.

Searches: The third party enquiries made of third-party authorities that include but are not limited to searches made of the local authority, Land Registry, company providing private or personal search services, water authorities etc.

Introducer: The party that provides first contact between the Service Provider/s and/or Client/s.

Instruction: When the Introducer provides the Client’s details, either through the online portal or via the Instruction form, and the Client has paid the setup fee or full payment up front where applicable and, when the Service Provider has been instructed. This is defined as 1 unit Instruction.

Leads: A User who has come through the movers-network Website and enquired for a Quote. This notifies the suitable Service Providers, up to a maximum of four, that a client now needs serving, and thus, they are now a Lead that movers-network has passed through to the Service Providers.

Agreement with Service Providers:

1.1 We, movers-network Limited (“We” or “Us” or “Our”) will provide leads for its members within the Website www.movers-network.co.uk

(“You” or “Your”) are subject to the terms and Conditions set out in this Agreement.

1.2 These leads will be supplied automatically to You and should, at the customer’s request, be followed with a formal quote from You.

1.3 The fees when You are a full member of the www.movers-network.co.uk for (various) leads will be charged per email quote request at the rate specific to each Service Provider. All leads are excluding VAT.

1.4 Fees for Mortgage Advisors, Conveyancers and Surveyors are up to £9.99 per email quote request. Removal Companies that quote above £200 will be charged up to £9.99 per email quote request. Removal Companies that quote under £200 will be charged £1.99 per email quote request.

1.4.1 A maximum of 4-6 Service Providers will be listed per email quote across all services.

1.4.2 By listing Your services and prices onto movers-network Ltd You are hereby giving Your consent of the terms and Conditions for Service Providers.

1.5 Some services on the site provide enquirers with an initial set of estimates on behalf of the Service Providers. The calculation of these initial estimates is based on values which are on Your control panel and so are determined by You. It is our responsibility to change these as and when you require and ensure they are as accurate as possible. A copy of the quote will be sent via email to the email address and phone number (where provided).

1.6 You will not be charged for duplicate email leads from the previous 21 days and if You receive a lead which You know to be from a competitor, please return it to Us and You will not be charged. We operate a strict email validation system and We only send You the customer’s details once the customer has clicked on a validation link We email the customer. We do not guarantee the accuracy of phone numbers.

1.7 We will send You a direct debit form to fill in or We can complete it online for You with Your consent. Upon delivery of Your invoice, You will have a 10 day period to dispute the amount after which You will be deemed to have accepted that the amount of the invoice is correct and Our payment file will be submitted for payment by the direct debit. These dates may vary slightly at holiday times.

1.8 The agreement can be cancelled by either party by notice in writing to the other party, without prejudice the rights of either party accrued prior to the date of termination.

1.9 Should an enquiry result in You being appointed to provide a service, the contract will be directly between You and the customer. movers-network Limited has no contractual involvement and is not liable for the products and services provided to Your customers by you.

1.10 The information You provide Us with from time to time will be kept confidential and will be subject to Our standard confidentiality terms, available on Our Website.

1.11 By becoming a member You confirm that You are a suitably qualified and regulated person to undertake the service You quote for or similar accreditation and that You will undertake every transaction/task within Your firm (or organization) and You have sufficient insurance and/or current PI cover to cover all work undertaken.

1.12 The information provided to You on each enquiry should only be used for the purposes of providing a quote and should not be passed to anyone else.

1.13 Only 4 Service Providers per enquiry will be sent full contact details for the customer.

1.14 We may also make Our quoting service available to other Websites.

1.15 You grant Us a non-exclusive worldwide, perpetual, irrevocable, royalty-free licence to exercise the copyright, trademark, publicity and database rights You have within Your profile page. By signing this agreement, You approve the use of Your logo on the www.movers-network.co.uk site and any other versions of the www.movers-network.co.uk Quote in co-branded sites for display with any quotes provided on behalf of You.

1.16 Each party will be excused from performance of its obligations under this agreement if and to the extent that such performance is hindered or prevented directly or indirectly by reason of any strike, lockout, labour disturbance government action, riot armed conflict, accident, unavailability or breakdown of normal means of transport, act of God or any other matter whatsoever beyond reasonable control.

1.17 Any notice or other communication given or made under this agreement will be via email. Please allow 48 hours for Your email to be actioned. Please retain a copy of the email sent as this may be required as proof to be forwarded at a later date.

1.18 No variation of this agreement or any of the documents referred to in it, shall be valid unless it is in writing and signed on behalf of each of the parties.

1.19 Failure to exercise, or any delay in exercising, any right or remedy provided under this agreement or by law shall not constitute a waiver of that (or any other) right or remedy, nor shall it preclude or restrict any further exercise of that (or any other) right or remedy. No single or partial exercise of any right or remedy provided under this agreement or by law shall preclude or restrict the further exercise of that right or remedy. Unless specifically provided otherwise, rights arising under this agreement are cumulative and do not exclude rights provided by law.

1.20 Nothing in this agreement is intended to, or shall operate to, create a partnership or employment relationship between the parties. Furthermore, nothing in this agreement is intended to, or shall operate to authorise either party to act as agent for the other, and neither party shall have authority to act in the name or on behalf of or otherwise to bind the other in any way (including the making of any representation or warranty, the assumption of any obligation or liability and the exercise of any right or power).

1.21 A person who is not a party to this agreement shall not have any rights under or in connection with it.

1.22 In the event that You have a grievance, complaint or claim against another Service Provider or an enquirer/client You agree to pursue this directly with them without involving movers-network Limited.

1.23 This agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the law of England and Wales.

1.24 You are responsible for ensuring the information held by www.movers-network.co.uk is accurate and up to date. This includes trade association memberships, fees We quote on Your behalf, company status, VAT status and general information.

1.25 You will not knowingly upload any viruses, Trojan horses or other harmful data onto www.movers-network.co.uk This includes anything that may corrupt or damage the operations of the Website or harm any other computer/device using or associated with movers-network Ltd.

1.26 Should We have reason to believe that You have breached Our Terms and Conditions You may be issued with a written warning. We reserve the right to terminate Your membership at any time.

1.27 We need to let You know what’s happening from time to time by sending You emails and newsletters etc. As a means of ensuring that You are not left out We automatically opt You in to a system called Mail Chimp. Should You not wish to be included You can unsubscribe by using the link on the email footer at any time.

1.28 It is the Introducer’s responsibility to explain the key facts and figures behind the relationship between movers-network and the Service Provider.

2. Payment Fee Terms

2.1 movers-network require a non-refundable setup fee before an Instruction can go ahead. The fee required will depend upon the specific Instruction.

2.2 movers-network and the Introducer (Service Provider) receive a rebate for any Instruction that We pass through to Our panel of Service Providers.

2.3 Once movers-network have received the Setup Fee, the Service Provider can invoice movers-network at any time henceforth.

2.4 movers-network must be paid any invoice by the Service Provider within 30 days of the Service Provider receiving said invoice.

3. Lead Terms

3.1 Free Leads will be calculated based on the amount of Instructions received in any given month.

3.2 You will receive up to a maximum of 6 free Leads per Instruction passed through.

3.3 You understand that movers-network cannot guarantee You will receive Leads due to User location and specific requirements.

3.4 movers-network will not be held liable for any inaccuracies that appear on the User’s account. Users can change this information at any time.

3.5 movers-network will not be held responsible for any inaccuracies, or any errors in the quality of service provided by the Client’s Service Provider. This includes the Service Level Agreement being broken.

3.6 Leads cannot be refunded for any monetary value.

3.7 Leads sent through by competitor’s/testers will be credited back to the Service Provider’s account.

3.8 movers-network cannot guarantee that any lead that We introduce to You will get back to You. We verify every email of every Lead We receive, but We do not verify phone numbers.

4. Terms of Refund

4.1 For conveyancers, Service Providers must understand that any case that has been opened, by which the conveyancer has started to provide their service, is non-refundable.

4.2 For surveyors, Clients will be given a 48-hour cooling-off period, whereby the Client can apply for a full refund. After 48-hours, there will be a minimum £100 admin fee charged to movers-network and the Client must contact the Service Provider and adhere to their Terms and Conditions in the case of a full refund being required.

5. GDPR

5.1 movers-network are compliant with the new set of GDPR laws regarding data protection. We clearly state, and draw attention to, where the Client must opt-in and therefore give consent for movers-network to pass the Client’s email to multiple Service Providers that are the most suitable.

5.2 The Leads We provide are not a statement of consent whereby they are added to Your mailing list. Their details are to be used for the Client’s enquiry only and the Service Provider accepts the Client’s private data will not be passed on to any third parties at any point, both during the case and

6. Our Rights

We reserve the right to:

6.1 Modify or withdraw, temporarily or permanently, this Website (or any part thereof) with or without notice to You and You confirm that We shall not be liable to You or any third party for any modification to or withdrawal of the Website; and/or

6.2 Change the Conditions from time to time, and Your continued use of the Website (or any part thereof) following such change shall be deemed to be Your acceptance of such change.

6.3 It is Your responsibility to check regularly to determine whether the Conditions have been changed. If You do not agree to any change to the Conditions, then You must immediately stop using the Website.

IF YOU DO NOT RETURN A SIGNED COPY OF THIS AGREEMENT TO MOVERS-NETWORK, BUT CONTINUE TO USE OUR SERVICE, THEN YOU WILL BE DEEMED TO HAVE ACCEPTED THE TERMS OF THIS AGREEMENT AND YOU CONFIRM THAT CLIENTS ARE BEING REFERRED TO YOU BASED UPON THE TERMS HEREOF.

The Linked Sites are not under the control of Movers Network UK and Movers Network UK accepts no responsibility whatsoever for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Movers Network is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by movers-network of the Linked Site or any association with its operators.
